EULA (End User License Agreement)

Article 1 (Agreement)
This End User License Agreement (this “Agreement”) sets forth, between Power Office LLC (the “Company”) and you (“you”), the terms and conditions for the use of the application “Power Viewer” provided by the Company.
This Agreement becomes effective between the Company and you at the time you agree to this Agreement. If you do not agree to this Agreement, you may not install or use Power Viewer.
This Agreement is prepared with the Japanese version as the authoritative text. Versions in English or other languages are translations for reference purposes only, and in the event of any discrepancy between the Japanese version and a version in another language, the Japanese version shall prevail.
Article 2 (Definitions)
In this Agreement, the terms listed in the following items shall have the meanings set forth in the respective items.
- the Company — means Power Office LLC.
- Power Viewer — means the Windows application made available by the Company free of charge, including its installer, related documentation, and updated versions.
- the Software — means the programs, data, and all other components constituting Power Viewer.
- License Key — means the authentication credential used to activate additional functions of Power Viewer.
- Additional Functions — means the functions of Power Viewer that are activated by entering a License Key.
- you — means the individual or legal entity that installs Power Viewer and agrees to this Agreement.
- Member Portal — means the contract management portal site “Member Portal” provided by the Company (https://member-portal.poweroffice-kato.com).
Article 3 (License)
- The core functions of Power Viewer are available free of charge. The Company grants you a limited, non-exclusive, and non-transferable right to use the Software in accordance with the terms of this Agreement.
- This Agreement grants a license to use the Software and does not transfer to you any ownership or other intellectual property rights in the Software. All rights in the Software are reserved by the Company or the third parties that license the Software to the Company.
- You shall not use the Software beyond the scope expressly licensed under this Agreement.
Article 4 (Additional Functions)
The core functions of Power Viewer are available free of charge. Activation of certain Additional Functions requires a License Key. The acquisition and other handling of License Keys and the conditions of use of Additional Functions shall be governed by the separately established terms of agreement for each plan (e.g., the “Power Viewer Business Plan Terms of Agreement”), and this Agreement does not grant you any rights relating to Additional Functions.
Article 5 (Member Portal Account)
- The Software provides a function to sign in with a Member Portal account. Signing in is not required in order to use the core functions of the Software.
- When you sign in to the Member Portal from within the Software, a Member Portal account is newly created based on the external authentication service account (Google, Microsoft, etc.) or the email address used for that sign-in. If such an account already exists, you will be signed in to that existing account.
- The use of the Member Portal and of the account thereon is governed by the “Member Portal Terms of Use” separately established by the Company (https://member-portal.poweroffice-kato.com/legal/terms/memberportal/general/1.1). The Software requires you to indicate your agreement to those terms before you sign in to the Member Portal. By indicating that agreement and signing in, you agree to be bound by those terms. The latest version of those terms is posted on the Member Portal.
- The handling of personal information obtained by the Company in connection with a Member Portal account is governed by the “Privacy Policy” separately established by the Company (https://poweroffice-kato.com/en/privacy-policy/).
- Deletion of a Member Portal account must be carried out through the prescribed procedure on the Member Portal. An account cannot be deleted from within the Software, and uninstalling the Software does not delete your Member Portal account.
Article 6 (Prohibited Acts)
In using the Software, you shall not engage in any of the following acts.
- Reverse engineering, decompiling, disassembling, or otherwise analyzing or modifying the Software (except where expressly permitted by applicable law).
- Circumventing the functional restrictions imposed by License Keys, or activating Additional Functions by unauthorized means.
- Redistributing, selling, lending, or sublicensing the Software without the prior written consent of the Company.
- Removing or altering any copyright notice or other rights notice attached to the Software.
- Using the Software in violation of applicable laws and regulations.
Article 7 (Updates)
- The Company may update the Software, change its specifications, or terminate its provision without prior notice to you.
- This Agreement (or the version of the license agreement established by the Company at the time of such update) shall also apply to updated versions of the Software.
Article 8 (Third-Party Software)
The Software may include software components in which third parties hold rights (including open source software). Such components are subject to their respective separate license terms, which may apply in priority to this Agreement.
Article 9 (Disclaimer)
The Software is provided “as is.” The Company makes no warranty of any kind, whether express or implied, including as to the completeness, accuracy, or usefulness of the Software, its fitness for a particular purpose, or its non-infringement of third-party rights.
Article 10 (Limitation of Liability)
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, or consequential damages incurred by you arising out of or in connection with the use of, or inability to use, the Software.
Article 11 (Termination)
- If you violate this Agreement, the Company may terminate the license under this Agreement without any prior notice.
- Upon termination of the license under this Agreement, you shall promptly cease using the Software and uninstall it.
Article 12 (Fixing of this Agreement)
This Agreement is managed on a per-version basis. When the contents are revised, a new version of the document will be prepared separately. The version of this Agreement in effect at the time of installation shall apply to you.
Article 13 (Governing Law and Jurisdiction)
- This Agreement shall be governed by the laws of Japan.
- Any dispute arising between the Company and you in connection with the use of the Software or this Agreement shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of the Company’s head office as the court of first instance.
